Terms of Service

1. Acceptance of Terms

By creating an account, paying for a subscription, or otherwise accessing Rodex RMM ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

These Terms form a legally binding agreement between you ("Customer", "you", "your") and Rodex RMM ("we", "us", "our"). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of Service

Rodex RMM provides a self-hosted Remote Monitoring & Management (RMM) platform. The Service consists of:

  • A software license to deploy the RMM dashboard, relay server, and agent software on VPS infrastructure that you own or rent
  • An automated provisioning tool that deploys the software stack to your VPS via SSH
  • A licensing and account management portal at our SaaS platform
  • Access to software updates released during your active subscription period

Your infrastructure, your data. Once deployed, your RMM instance runs entirely on your own server. We do not host, process, or have access to your endpoint data, client information, remote sessions, or any data flowing through your private RMM installation.

3. Account Registration

  • You must provide accurate and complete registration information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately of any unauthorised use of your account at support@rodex.cc.
  • Accounts may not be shared between multiple individuals or organisations without explicit written consent.
  • One person or legal entity may not maintain more than one free or trial account.

4. Subscription & Billing

4.1 Plans

We offer tiered subscription plans as described on our pricing page. Each plan includes a specific number of VPS instances and the features listed at the time of purchase.

4.2 Payment

Subscriptions are prepaid monthly. Payment is processed at the start of each billing cycle. We currently accept cryptocurrency payments. All prices are in USD. You authorise us (or our payment processor) to charge your payment method on each renewal date.

4.3 Renewals & Cancellations

Subscriptions renew automatically unless cancelled before the next billing date. To cancel, contact us at support@rodex.cc. Cancellation takes effect at the end of the current paid period — you retain access until that date. We do not provide prorated refunds for unused time in a billing cycle.

4.4 Price Changes

We reserve the right to change subscription prices. We will notify you at least 30 days in advance. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.

4.5 Refund Policy

Due to the immediate delivery of digital software licenses and provisioning services, all sales are final and non-refundable, except where required by applicable law. If you experience a technical issue that prevents you from using the Service, contact support@rodex.cc within 48 hours of purchase and we will work to resolve it.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use Rodex RMM or any RMM software deployed via our platform to:

  • Monitor or access devices without the explicit informed consent of the device owner
  • Engage in any activity that violates applicable local, national, or international law or regulation
  • Distribute malware, ransomware, spyware, or any malicious software
  • Conduct unauthorised penetration testing or security research on systems you do not own
  • Interfere with, disrupt, or attempt to gain unauthorised access to our licensing platform or third-party systems
  • Circumvent, disable, or otherwise interfere with security-related features of the Service
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service for purposes competitive to ours without prior written consent

Violation of this policy may result in immediate suspension or termination of your account without refund and may be reported to relevant law enforcement authorities.

6. Consent & Endpoint Monitoring

You are solely responsible for obtaining all necessary consents and authorisations before deploying agents on any device. This includes:

  • Informing device owners and users that monitoring software is installed
  • Complying with applicable employment law, privacy law, and data protection regulations in your jurisdiction (including GDPR, CCPA, or equivalent)
  • Maintaining written consent records where required by law
  • Ensuring your clients' end-users are informed of monitoring activities per any applicable agreement

We provide the software tool. The legal and ethical responsibility for how you use it rests entirely with you.

7. Intellectual Property

The Rodex RMM platform, including its source code, design, documentation, and branding, is the exclusive intellectual property of Rodex RMM and is protected by copyright and other applicable intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use the software on the number of VPS instances permitted by your plan. You may not:

  • Copy, modify, distribute, sell, or sublicense the software to third parties
  • Reverse-engineer, decompile, or disassemble any component of the software
  • Remove or alter any proprietary notices, labels, or watermarks
  • Resell access to the platform as a standalone service without a white-label agreement

8. VPS Provisioning

When you provide SSH credentials for automated provisioning:

  • You confirm you are the authorised owner or administrator of the target server
  • You understand that our provisioner will install software, modify system configuration, and open necessary firewall ports
  • You accept that provisioning modifies your server and that you are responsible for maintaining backups
  • SSH credentials are used only for provisioning and are not stored or accessed thereafter

9. Service Availability & SLA

We target 99.9% uptime for our licensing platform. Planned maintenance will be announced at least 48 hours in advance. Because the RMM software runs on your own VPS, the uptime of your RMM instance depends on the availability of your own infrastructure and is outside our control.

We do not guarantee uptime of the licensing portal beyond reasonable efforts. Service interruptions to the licensing platform do not affect the operation of already-deployed RMM instances — agents and dashboards continue to function independently.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RODEX RMM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Rodex RMM and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including privacy and intellectual property rights; or (d) your use of the RMM software to monitor devices without proper consent.

13. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your license to use the software is revoked, and your access to the licensing portal will be disabled. Termination does not affect already-deployed RMM instances, which will continue to function on your server indefinitely.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes will be submitted to binding arbitration, with each party bearing their own costs, unless applicable law requires otherwise.

15. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or a notice on our platform at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
